General Terms and Conditions of Sale

Definitions

In these conditions unless the context cannot so admit

  1. GWF Nutrition Limited – Registered in England no. 1042610
  2. “goods” means any product sold by GWF Nutrition Limited
  3. “buyer” means the person ordering goods from GWF Nutrition Limited

Conditions

Every sale of goods made by GWF Nutrition Limited is subject to these terms and conditions. All other terms, conditions and warranties and representations implied by statute, common law or usage or expressed or implied by the buyer or by GWF Nutrition Limited are hereby excluded and extinguished with the exception of conditions of sale expressly accepted by GWF Nutrition Limited in writing.

Payment

Unless otherwise agreed in writing between GWF Nutrition Limited and the buyer payment in full for all the goods ordered must be made in accordance with the following terms:

The Credit Charge may be deducted from the total invoice value if payment is made by the payment due date, provided no other items are overdue, Interest at 3% over Lloyds Bank base rate (variable) will be charged on overdue accounts. Where no credit charge is stated, payment is required no later than the due date as shown on the invoice. GWF Nutrition Limited reserves the right to require payment at anytime.

Passing of Property and Retention of Title

The property in the goods sold under this Contract shall remain with the Seller and shall pass to the buyer only when payment in full for all the goods has been received by the Seller in accordance with the terms of this Contract or when the buyer sells the goods to its customers by way of bona-fide sale at full market value whichever shall first occur, and the Seller reserves the right to dispose of the goods until such time as the property passes.

If such payment is overdue in whole or in part the Seller may (without prejudice to any of its other rights) recover or re-sell the goods or any of them, and may enter upon the buyer's premises by its servants or agents for that purpose, provided that the Seller shall account to the buyer for any part payments that the buyer may have made for the goods

Such payments shall become due immediately upon commencement of any act or proceeding in which the buyer's Solvency is involved.

The buyer shall hold as trustee for Seller all monies recovered from the sale of goods.

Carriage

Unless otherwise indicated by GWF Nutrition Limited in writing all prices quoted include delivery to the buyer's premises in respect of goods supplied by GWF Nutrition Limited. Under these Conditions GWF Nutrition Limited shall not be liable for any direct or indirect loss of the buyer of for any fault, patent or latent or other loss of liability howsoever arising and whether or not caused by the negligence of GWF Nutrition Limited or its employees or agents.

Delivery

If delivery by GWF Nutrition Limited or any person who shall supply the goods or any part thereof to GWF Nutrition Limited is delayed or prevented by war, fire, act of God, stoppage of employees prohibition or restricted by any competent authority or by any other causes beyond the reasonable control of GWF Nutrition Limited then GWF Nutrition Limited shall be under no liability whatsoever to the buyer for the resulting delay or failure to deliver or for any loss consequential thereupon.

Not withstanding the generality of paragraph (a) of the Condition time of delivery is not of the essence of any agreement between GWF Nutrition Limited and the buyer.

Appriation & Appropriation

GWF Nutrition Limited may apply all or any part of any sum owing by GWF Nutrition Limited to the buyer in relation to any matter whatsoever in or towards payment of any sum owing to GWF Nutrition Ltd hereunder. In this paragraph reference to “GWF Nutrition Limited ” or the “buyer” includes any company which is for the purposes of the Companies Act 1948, a holding company or a subsidiary of a holding company of GWF Nutrition Limited or the buyer respectively.

GWF Nutrition Limited may appropriate any payments made by the buyer to GWF Nutrition Limited against amounts that have been owing by the buyer to GWF Nutrition Limited for the longest period notwithstanding the prior appropriation of that payment by the buyer.

  1. Medication can be included, under veterinary written direction only, upon request.
